By using this website or booking any service with Brainstorm, you agree to the following Terms & Conditions. Please read them carefully before proceeding.
1. Introduction
These Terms & Conditions (“Terms”) govern your use of the website [www.brain-storm.uk] and any services provided by Brainstorm (“we”, “us”, “our”).
By engaging our services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please refrain from using our website or services.
2. Services
Brainstorm provides strategy and creative services designed to help businesses gain clarity, structure, and growth. Our core services include:
Brainstorm Sessions (strategic clarity calls)
Website Design & Build projects
Google Sheets / Docs Systems (automation and process builds)
Review System (review systems and outreach management)
Ongoing Retainers (for support, consulting, and maintenance)
Each service is governed by these Terms and any written proposal or agreement specific to your project.
3. Booking, Payment & Retainers
3.1. All projects and sessions must be confirmed through written acceptance and full or partial payment as specified.
3.2. Unless otherwise agreed:
Brainstorm Sessions: full payment required at booking.
Projects (Websites, Systems, Reviews): 50% upfront, 25% mid-point, and 25% before launch or delivery.
Retainers: may be offered for ongoing support, updates, or strategy services.
3.3. Retainers are billed monthly and must be paid on the last working day of each month.
3.4. Payment confirms your booking, project slot, or retainer agreement and constitutes acceptance of these Terms.
3.5. Payment methods accepted include Stripe, PayPal, and bank transfer.
3.6. Late or missed payments may result in the suspension or termination of work until payment is received.
4. Cancellation & Rescheduling
4.1. Brainstorm Sessions may be rescheduled with a minimum of 48 hours’ notice.
4.2. Cancellations made less than 48 hours before a booked session or non-attendance may forfeit the session fee.
4.3. For larger projects (websites, systems, reviews): deposits are non-refundable once work has begun, as time and resources are allocated immediately.
4.4. Brainstorm may reschedule a session or project due to unforeseen circumstances (e.g. illness, technical issues, force majeure). In such cases, an alternative date will be offered promptly.
5. Website Design Projects
5.1. All website projects begin with a Brainstorm Session to define structure, goals, and content direction.
5.2. You are responsible for providing accurate and timely content (text, images, branding materials, etc.) unless otherwise agreed.
5.3. Drafts and revisions are provided as per your proposal. Additional revisions beyond the agreed scope may incur extra costs.
5.4. Websites are typically built using Squarespace (or another agreed platform).
5.5. All website design files, layouts, templates, and related creative assets remain the property of Brainstorm unless otherwise agreed in writing.
5.6. Upon full payment, you are granted a license to use the completed website for your business purposes, including editing and publishing.
5.7. Brainstorm reserves the right to revoke or restrict use if invoices remain unpaid or if the site is used unlawfully.
6. Google Sheets / Docs Systems
6.1. All system builds begin with a Brainstorm Session to identify processes and requirements.
6.2. Systems are built within Google Workspace tools (Sheets, Docs, Forms, etc.) and may be shared via your Google account.
6.3. All templates, formulas, automations, and structures created by Brainstorm remain the intellectual property of Brainstorm unless otherwise agreed in writing.
6.4. You are granted a non-exclusive, perpetual license to use and adapt these tools for internal business use only.
6.5. Redistribution, resale, or sharing of Brainstorm-created systems is prohibited without written consent.
6.6. Brainstorm may retain access temporarily for testing, support, or maintenance purposes.
7. Review System
7.1. The Review System Build service includes setup of templates, forms, and tracking tools to help you collect and manage customer reviews.
7.2. The Review Outreach Service involves Brainstorm conducting outreach (email, message, or phone) to your existing customers, using approved tone and templates.
7.3. All review templates, outreach scripts, and tracking systems remain the property of Brainstorm unless otherwise agreed in writing.
7.4. You are responsible for ensuring that all customer data shared with Brainstorm is accurate, lawful, and compliant with UK GDPR.
7.5. Brainstorm will never use, sell, or share this data outside the scope of your project.
8. Third-Party Services & Integrations
8.1. Brainstorm may recommend, provide, or integrate third-party software, tools, or services (such as Google Workspace, Squarespace, review platforms, automation tools, or analytics systems).
8.2. All third-party tools and accounts are subject to their own terms and privacy policies, which you are responsible for reviewing and maintaining.
8.3. Third-party services and integrations are charged on a case-by-case basis, depending on setup complexity and ongoing management requirements.
8.4. You are responsible for maintaining any third-party subscriptions or accounts following project completion, unless covered by a retainer.
8.5. Brainstorm is not liable for downtime, errors, or policy changes caused by third-party providers.
9. Intellectual Property
9.1. All creative work, systems, documents, templates, and intellectual property produced by Brainstorm remain the property of Brainstorm unless otherwise agreed in writing.
9.2. You are granted a limited license to use the final deliverables for your own business purposes once all fees have been paid in full.
9.3. Brainstorm retains the right to reuse structures, templates, and ideas developed during client work for future projects, unless bound by a confidentiality agreement.
9.4. Brainstorm reserves the right to showcase completed work (screenshots, links, testimonials) in our portfolio or marketing materials unless you request otherwise in writing.
10. Limitation of Liability
10.1. Brainstorm provides clarity, structure, and strategy to help your business progress — however, specific outcomes or financial results are not guaranteed.
10.2. We are not liable for any indirect, incidental, or consequential losses (such as loss of income, business, or data).
10.3. Our total liability under any claim shall not exceed the amount paid by you for the relevant service.
10.4. Nothing in these Terms excludes liability for death, personal injury, or fraud caused by our negligence.
11. Privacy & Data Protection
Your use of our website and services is also governed by our Privacy Policy.
By engaging our services, you consent to us securely storing your contact and project information for administrative and legal purposes.
12. Termination
We reserve the right to suspend or terminate any project or agreement if:
Payments are overdue beyond agreed terms;
You fail to provide necessary materials or communication within a reasonable timeframe;
There is abusive, unethical, or unprofessional behaviour.
In such cases, any completed work up to that point remains payable and non-refundable.
13. Changes to These Terms
We may update these Terms occasionally to reflect changes in our services or policies. The latest version will always be available on our website.
14. Governing Law
These Terms are governed by the laws of England & Wales.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.
